Terms and Conditions of Carriage (Spot / Non-Contract Services)

1. Application and Interpretation

1.1 These Terms and Conditions (“Terms”) shall apply to all spot or non-contract services provided by SLD Logistics Limited (“the Company”) unless otherwise expressly agreed in writing. 1.2 Where the Customer’s own terms and conditions or a specific written agreement apply, such terms shall take precedence to the extent of any inconsistency with these Terms. 1.3 No variation to these Terms shall be binding unless agreed in writing by an authorised representative of the Company.

2. Scope of Services

2.1 The Company provides road transport services for bulk liquid products from a collection point specified by the Customer to a destination nominated by the Customer. 2.2 The Company acts at all times as carrier only and does not own, manufacture, sell, store, process, or otherwise deal in the Goods. 2.3 The Services are limited strictly to transport and such ancillary activities as are expressly agreed in writing.

3. Customer Obligations

3.1 The Customer warrants that the Goods are lawful to transport, suitably packaged, compatible with the vehicle or tank provided, and fit for carriage. 3.2 The Customer shall ensure that all information, documentation, instructions, and site requirements provided to the Company are complete, accurate, and lawful. 3.3 The Customer shall be responsible for the condition of the Goods at collection and for ensuring safe and unrestricted access to collection and delivery sites.

4. Handling and Operational Control

4.1 Drivers shall comply with written instructions and approved operational procedures at all times. 4.2 Seals or tank closures shall not be opened except in accordance with written procedures or where required in an emergency situation. 4.3 No deviation from Customer instructions shall occur without prior written authorisation.

5. Charges and Payment

5.1 Charges shall be as agreed in writing prior to service delivery and may include applicable fuel adjustment mechanisms as agreed with the Customer. 5.2 Additional charges, including but not limited to waiting time, cancellations, failed deliveries, and cleaning due to product contamination, shall apply only where expressly agreed in writing or caused by Customer default. 5.3 Invoices shall be payable in accordance with agreed payment terms.

6. Delays and Force Majeure Events

6.1 The Company shall not be liable for delay or failure arising from circumstances beyond its reasonable control, including but not limited to site congestion, third-party actions, regulatory intervention, adverse weather, or industrial action. 6.2 Reasonable endeavours shall be made to minimise the impact of any such disruption.

7. Liability

7.1 The Company shall be liable only for direct loss or damage to the Goods arising from its negligence in the performance of the Services. 7.2 The Company shall not be liable for the condition, quality, or suitability of the Goods. 7.3 To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential loss, including loss of profit, business, production, or opportunity.

8. Claims

8.1 Any claim for loss, damage, delay, or contamination shall be notified to the Company within a reasonable time following delivery, together with sufficient details to permit investigation. 8.2 Failure to provide timely notification may prejudice the Company’s ability to assess or respond to the claim.

9. Dispute Resolution

9.1 The Parties shall seek in good faith to resolve any dispute arising out of or in connection with these Terms through mediation prior to commencing legal proceedings.

10. Governing Law and Jurisdiction

10.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
